Welcome to Legacy Guruuz™.
Legacy Guruuz provides a guided environment for preserving stories, photographs, voice, relationships, values, reflections, traditions, memories, wisdom, and other meaningful parts of a life so they can remain organized, understandable, and capable of carrying forward across time.
Legacy Guruuz is operated by Guruu International Inc.
These Terms of Service govern enrollment, account access, use of LegacyGuruuz.com, App.LegacyGuruuz.com, the Living Time Capsule, Haliʻa, Founding 100 participation, Legacy Content, Stewardship, contributions, payments, Legacy Guruu development, and related Legacy Guruuz services.
By affirmatively accepting these Terms, you enter into a binding agreement with Guruu International Inc.
1. Purpose of These Terms
These Terms establish the governing relationship between Legacy Guruuz and the people who use its services.
They address account eligibility and access; Living Legacy participation; Founding 100 enrollment; Member Content and Legacy Content; Contributor materials; consent and permissions; Steward designation and future Stewardship; payments, refunds, and cancellation; content safety; voice, likeness, and digital-replica rights; AI-supported Legacy experiences; privacy and data governance; intellectual property; system integrity; suspension and termination; service changes; disclaimers; liability; and dispute resolution.
Related governing documents work alongside these Terms according to the subject each document governs.
2. Acceptance of These Terms
You accept these Terms by taking an affirmative action indicating agreement, including selecting an “I Agree,” “Accept,” “Continue,” “Complete Enrollment,” “Begin Your Legacy,” or comparable acceptance control, or by providing another legally sufficient electronic signature or affirmative digital acceptance presented by Legacy Guruuz.
Where Terms acceptance is required as part of enrollment, the applicable acceptance must occur before completion of the corresponding enrollment transaction.
Payment by itself does not substitute for any separate consent, authorization, acknowledgment, or permission that Legacy Guruuz requires for a particular service, including the Member Consent & Legacy Authorization.
Electronic acceptance, records, acknowledgments, and signatures may carry legal effect to the fullest extent permitted by applicable law.
If you accept these Terms on behalf of another person, estate, trust, organization, or rights-holder, you represent that you possess authority sufficient for the action being taken.
Separate evidence of authority may be required before particular Legacy materials, Stewardship functions, rights, voice capabilities, likeness capabilities, or posthumous Legacy pathways are activated.
3. Who We Are
Legacy Guruuz is an intergenerational mentorship and Legacy-preservation experience operated by Guruu International Inc.
For purposes of these Terms:
“Company” means Guruu International Inc.
“Website” means LegacyGuruuz.com and related public-facing Legacy Guruuz pages.
“Product Environment” means App.LegacyGuruuz.com and related authenticated Member, Steward, Contributor, onboarding, and Legacy-building environments.
“Legacy Guruuz,” “we,” “us,” and “our” refer, as context requires, to the Legacy Guruuz service line, Company, Website, Product Environment, communications, software, services, and related experiences.
4. Important Definitions
“Member” means an individual enrolled in or otherwise authorized to use a Legacy Guruuz Member experience.
“Contributor” means a person authorized to contribute stories, photographs, recordings, writings, memories, or other materials associated with a Legacy.
“Legacy Content” means stories, photographs, audio, video, documents, writings, reflections, memories, voice, relationship information, values, traditions, teachings, memorabilia, and other materials entrusted to Legacy Guruuz.
“Private Legacy Content” means Legacy Content whose access remains restricted according to Member permissions, applicable rights, service configuration, and governing agreements.
“Living Legacy” means Legacy preservation created while the individual whose Legacy is being preserved is alive and participating directly.
“Living Time Capsule” means the structured Legacy environment through which approved stories, photographs, voice, reflections, relationships, memories, values, and related Legacy materials can accumulate across time.
“Legacy Guruu” means an authorized AI-supported Legacy embodiment developed from governed source materials, permissions, stories, values, perspective, voice where separately authorized, and related Legacy architecture.
“Steward” means a person designated through the applicable Legacy Guruuz process to carry defined responsibilities concerning a Member's Legacy.
5. Eligibility
Direct authenticated participation in the initial Legacy Guruuz service is intended for individuals 18 years of age or older.
Members, Contributors, Stewards, and other independently authenticated participants must be at least 18 unless Legacy Guruuz expressly introduces a separately governed age-appropriate experience.
By creating or accepting an account, authenticated role, or corresponding participation, you represent that you satisfy the applicable age requirement and possess legal capacity to enter the agreements governing that participation.
Family photographs, stories, recordings, memories, and Legacy materials may naturally include children or minors when lawfully contributed by an authorized adult.
Legacy Guruuz does not presently provide an independent Member or Contributor experience designed for children.
Any future youth experience will operate under appropriate eligibility, parental or guardian authorization, privacy, consent, safety, and legal requirements.
6. Relationship Among Governing Documents
These Terms work together with other Legacy Guruuz governing documents, including, where applicable:
Member Consent & Legacy Authorization
Privacy Policy
Content Standards
Stewardship & Continuity Agreement
Voice & Likeness Consent
Contributor permissions or contribution terms
Founding Member or checkout terms
Rights-holder, estate, or licensing agreements
Feature-specific notices or agreements
Each governing document controls the particular subject it specifically addresses.
For example, the Privacy Policy governs personal-information handling; the Content Standards govern submitted-content requirements; the Member Consent & Legacy Authorization governs Member authorization; the Stewardship & Continuity Agreement governs Steward responsibilities and authority; and a Voice & Likeness Consent governs modeled or synthetic voice, likeness, or comparable identity-linked uses.
A fully executed specialized written agreement may control the particular subject it expressly governs.
These Terms remain the principal agreement governing general use of the Legacy Guruuz service unless another applicable agreement expressly controls a narrower subject.
7. Legacy Guruuz Services
Legacy Guruuz services may include Living Legacy preservation; Living Time Capsule creation; Haliʻa-guided conversations; story and memory capture; photograph and document preservation; voice recording and transcription; reflection and Legacy-building prompts; relationship and family-context organization; source attribution and provenance; Contributor participation; Steward designation; continuity and retrieval; Legacy Guruu development where authorized; Founding Member experiences; and future Legacy features and premium additions.
Specific capabilities may vary according to service stage, Member permissions, available technology, accepted agreements, applicable rights, account configuration, and law.
8. Haliʻa
Haliʻa is the primary Member-facing Guiding Guruu within Legacy Guruuz.
Haliʻa may support conversation, reflection, storytelling, memory continuity, questions, retrieval of approved Legacy materials, organization of meaningful context, and guided Legacy development.
Haliʻa uses artificial intelligence and governed Legacy context.
Members remain responsible for their decisions, interpretations, corrections, and actions.
9. Founding 100 Enrollment
The Legacy Guruuz Founding 100 is a limited Founding offer for the first 100 qualifying Founding Members accepted through the applicable enrollment process.
The Founding 100 structure includes:
Permanent Founding Membership: $250 once, with Permanent Founding Member recognition and no future recurring membership fee for the protected foundational core Permanent Founding Membership.
Founding Monthly: $15 per month for the first 12 monthly billing periods. The Member must affirmatively authorize the recurring monthly charges at enrollment and may cancel at any time.
Both choices include one personal Living Time Capsule; guided onboarding; continuing Legacy-building participation while the applicable Membership remains in effect; Member control over approved Legacy materials and permissions; designation of a personal Steward; Founding consideration for eligible future additions; a 30-Day Money-Back Guarantee; and access to eligible future premium additions where separately offered and purchased.
Before the Founding year ends, Monthly Members will receive notice of the Founding 100 rollover pricing structure then in effect and the steps required to continue. An unknown future price will not be imposed automatically without the applicable notice and Member continuation authorization.
Availability remains subject to the Founding 100 capacity limit and successful enrollment.
10. Permanent Founding Member Recognition
Permanent Founding Member recognition reflects the Member's place within the original Founding 100.
That recognition is intended to remain associated with the qualifying Founding Member and the corresponding Legacy relationship.
“Permanent” describes enduring Founding recognition and protected Founding status. It does not require every current interface, AI model, technology provider, feature, workflow, design, or implementation method to remain unchanged indefinitely.
Legacy Guruuz may evolve its technology and service architecture while preserving the substance of the protected Founding commitment.
Following an authorized Stewardship activation, the Member's Founding recognition remains associated with the original Member and their Legacy. A Steward may administer authorized continuity but does not personally become the Founding Member.
11. Protected Core Founding Experience
A qualifying Permanent Founding Member will not be charged a future recurring membership fee merely to retain access to the protected foundational core Permanent Founding Membership. Founding Monthly is a recurring membership governed by the Monthly price, billing authorization, cancellation and continuation disclosures in these Terms.
Legacy Guruuz may introduce additional premium experiences, expanded storage, specialized Legacy services, advanced media capabilities, physical products, custom Legacy development, premium voice or video services, professional services, or other optional additions.
Eligible premium additions may carry separate fees.
Purchase of an optional premium addition remains voluntary unless clearly identified as necessary for a separately requested service.
12. Fees and Payments
Members agree to pay amounts presented during enrollment, checkout, or purchase.
Unless otherwise stated, fees are quoted in U.S. dollars. Payment may be processed through third-party payment providers, and applicable taxes or governmental charges may apply.
Payment-provider terms may also govern the payment transaction.
Legacy Guruuz may replace or supplement payment providers as the service evolves.
13. 30-Day Money-Back Guarantee
Founding 100 enrollment includes a 30-Day Money-Back Guarantee.
The 30-Day Money-Back Guarantee applies to both Permanent Founding Membership and Founding Monthly. A qualifying Permanent Founding Member may request cancellation and a refund of the applicable $250 one-time payment within 30 calendar days after that payment is completed. A qualifying Founding Monthly Member who properly invokes the Guarantee within 30 calendar days of initial enrollment receives a refund of the Monthly membership charges actually paid during that eligible first 30-day period. The Monthly refund is not a $250 refund.
Upon completion of an eligible Guarantee refund, the qualifying payment or Monthly charges actually paid during the eligible period will be refunded according to the applicable payment method and provider process. Membership ends, and the Member's Legacy Content and associated Member account materials are handled under the existing approved Guarantee deletion procedures and Privacy Policy. The Member may request a digital copy of information they provided before permanent deletion.
Limited records may remain where reasonably necessary or legally required for accounting, tax, transaction verification, fraud prevention, legal compliance, rights administration, security, dispute prevention, or evidence that the deletion or refund request was completed.
Protected backup systems may require a reasonable period before deleted information cycles out of backup storage.
Material preserved solely because of legal, security, transactional, rights, or backup requirements does not remain available as active Legacy Content merely because a retained system copy exists.
14. Cancellation After 30 Days
A Founding Monthly Member may cancel at any time through the available cancellation process. Cancellation stops future recurring membership charges. Unless the 30-Day Guarantee is invoked, access may continue through the end of the already-paid billing period. After the applicable 30-day refund period, a Permanent Founding Member may cancel the Legacy Guruuz relationship according to the available cancellation process.
Outside the 30-Day Guarantee period, previously paid Monthly membership charges are non-refundable. Cancellation after the refund period does not otherwise create a refund right unless applicable law or another accepted written agreement provides otherwise.
Upon qualifying cancellation, Legacy Guruuz will provide a reasonable process for release or export of eligible Member Legacy Content in a then-supported format.
Information retained following cancellation remains governed by the Privacy Policy, applicable rights, Member instructions, technical requirements, and law.
15. Personal Steward
Founding Members are expected to designate a personal Steward through the Legacy Guruuz onboarding or Legacy-building process.
A Member may change or revoke a designated Steward according to applicable service procedures.
The Member remains the primary authority over their Living Legacy while they remain able and authorized to direct it.
16. Steward Designation Is a Service Instruction
A Legacy Guruuz Steward designation governs the Legacy Guruuz service relationship.
It does not by itself create or replace a will, trust, power of attorney, guardianship, conservatorship, executorship, trusteeship, health-care directive, beneficiary designation, estate plan, or legal fiduciary appointment.
Members should use appropriate qualified professionals and legally recognized documents for estate, financial, medical, and legal planning.
Legacy Guruuz may request documentation concerning legal authority where a Steward request overlaps with estate rights, court authority, intellectual-property rights, incapacity, or another legally governed matter.
17. Death or Incapacity
A Member may authorize Legacy continuity through their designated Steward following a qualifying death or incapacity event.
Before transferring applicable service-level control, Legacy Guruuz may require reasonable evidence concerning Member identity, Steward identity, the relevant death or incapacity event, current Steward designation, Member instructions, legal authority where applicable, conflicting rights or instructions, and applicable estate or rights-holder requirements.
Steward access remains limited to the authority granted through the Member's governing Legacy instructions, the Stewardship & Continuity Agreement, applicable rights, and law.
A Steward does not gain authority merely because the Member has died or become incapacitated to reactivate a permission the Member validly revoked or to restore Legacy Content the Member intentionally removed before Stewardship activation.
18. Member Ownership
As between the Member and Guruu International Inc., the Member retains ownership of original Legacy Content they own and contribute.
These Terms do not transfer ownership of Member-created photographs, stories, recordings, writings, documents, or other original materials to Guruu International Inc.
Third-party materials remain subject to the rights of their respective owners.
19. Limited Service License
To operate Legacy Guruuz, the Member grants Guruu International Inc. a non-exclusive, worldwide, royalty-free license to perform actions reasonably necessary to provide and administer the authorized Legacy experience.
This may include hosting, storing, backing up, copying, transmitting, transcoding, transcribing, indexing, organizing, analyzing, retrieving, displaying to authorized users, creating summaries or authorized service-generated representations, and processing Legacy Content through authorized service providers.
This license exists only for purposes reasonably connected to operating the Member's Legacy experience, providing authorized features, administering permissions, protecting security, maintaining continuity, performing required safety review, and complying with law.
The license does not authorize unrestricted public marketing use, general-purpose AI training prohibited by Section 28, or modeled voice, likeness, or digital-replica use beyond separately granted authorization.
The license ends when the applicable Legacy Content is deleted from active systems, subject to reasonable backup cycles, legal retention, rights administration, security requirements, and obligations that logically survive deletion.
20. Rights in Third-Party Material
A Member or Contributor who submits material involving another person represents that they possess an appropriate basis to provide that material.
Submitted materials may involve copyright, confidentiality, privacy, publicity, voice rights, likeness rights, contractual restrictions, estate rights, trademark rights, or other intellectual-property or personal rights.
Legacy Guruuz may require additional permission, documentation, restriction, attribution, or removal where material creates a material rights concern.
Possession of material does not necessarily establish ownership of every right associated with that material.
21. Contributors
Members may invite authorized Contributors to provide stories, memories, photographs, recordings, or other Legacy material.
Contributor participation may require separate consent, contribution terms, attribution preferences, rights confirmation, and account or identity verification.
Contributor material remains distinguishable from the Member's firsthand statements where provenance matters.
A Contributor does not obtain general access to the Member's Private Legacy Content solely because they contributed material.
22. Content Review
Submitted content may be reviewed for safety, rights, authenticity, security, or legal compliance before becoming available for active Legacy Guruuz use.
Review may involve automated tools and, where reasonably necessary, limited authorized human review.
Possible outcomes may include approval, a request for additional information or permission, restriction, removal, or another action required by the Content Standards, these Terms, or law.
Eligible moderation decisions may support reconsideration according to available procedures.
23. Prohibited Sexual and Exploitative Content
Legacy Guruuz exists for human story, memory, wisdom, relationship, and Legacy preservation.
Members and Contributors may not use Legacy Guruuz to upload, activate, display, distribute, or preserve for active Legacy use material whose primary content includes pornography, sexual intercourse, explicit sexual activity, sexually explicit or sexualized nudity, sexual exploitation, sexual fetish material primarily intended for sexual arousal, nonconsensual intimate imagery, sexually explicit audio or video, sexual material prohibited by law, or sexual content involving minors.
Sexual exploitation of minors is prohibited without exception.
Historical, artistic, medical, documentary, cultural, ordinary family, or incidental non-sexual material may receive contextual review rather than automatic restriction.
Additional requirements appear in the Content Standards.
24. Other Prohibited Uses
Members, Contributors, Stewards, and other participants may not use Legacy Guruuz to violate applicable law; infringe intellectual-property, privacy, contractual, confidentiality, publicity, voice, likeness, or other rights; impersonate another person for fraud or deception; create false evidence or knowingly falsified historical records; harass, threaten, exploit, intimidate, stalk, extort, or abuse another person; upload malware or malicious code; interfere with service security or availability; gain unauthorized access to accounts, systems, data, or infrastructure; expose Private Legacy Content without authority; bypass safety, access, consent, authentication, permission, rate-limit, or rights controls; use a Legacy Guruu or modeled voice to authenticate identity; use a Legacy embodiment to execute contracts, financial transactions, legal instructions, or official acts as though it were the represented person; or otherwise use the service in a manner that materially threatens Member safety, privacy, dignity, trust, provenance, intellectual property, security, or service integrity.
Participants also may not, except to the limited extent an applicable law expressly prohibits the restriction:
access, disclose, reproduce, derive, reverse engineer, exploit, or use non-public technical, operational, security, business, or system information relating to Legacy Guruuz or other Guruu International services except as expressly authorized by law or written agreement;
probe, scan, test, defeat, circumvent, or seek unauthorized knowledge of security, access-control, authentication, safety, monitoring, or technical restrictions;
use prompt injection, systematic interrogation, model extraction, automated querying, scraping, crawling, data harvesting, output harvesting, or comparable methods to expose, infer, reconstruct, reproduce, or obtain unauthorized access to non-public confidential information, trade secrets, credentials, or underlying technology;
systematically collect service outputs, behavioral observations, metadata, responses, or other information for the purpose of reconstructing protected system functionality or developing a materially substitutive or competing service in violation of applicable intellectual-property, contractual, trade-secret, access-control, or other enforceable rights; or
assist another person in conducting any prohibited activity described in this Section.
Where applicable law grants a nonwaivable right concerning interoperability, security research, reverse engineering, or comparable activity, this Section applies only to the maximum extent permitted by that law.
25. Voice, Likeness, and Digital Replicas
A Member may contribute ordinary audio, photographs, or video for preservation and authorized Legacy use.
Submitting those materials does not by itself authorize creation or activation of a cloned voice, synthetic voice, biometric voice model, voiceprint used for identity modeling, digital replica, photorealistic synthetic likeness, materially expanded synthetic identity use, or commercial exploitation of another person's identity.
Modeled or synthetic voice, likeness, digital-replica, or comparable identity-linked capabilities require the applicable authority, rights, and separate heightened authorization.
Legacy Guruuz may request evidence of identity, consent, licensing, estate authority, or rights-holder authority before activating such capabilities.
26. About Legacy Guruu Experiences
A Legacy Guruu is not the biological, legal, conscious, or literal continuation of the represented person.
A Legacy Guruu may use authorized materials and AI-assisted output to present stories, values, perspective, and other approved Legacy elements within applicable permissions.
Generated content should not be represented as an authentic quotation, historical fact, or literal lifetime statement unless supported by the underlying material.
27. Accuracy, Corrections, and AI Output
Artificial intelligence can produce mistakes, interpretations, incomplete conclusions, or language that requires correction.
Members, Stewards, authorized rights-holders, and qualified Contributors may provide corrections, additional material, or clarification according to applicable authority.
Legacy Guruuz may revise AI-assisted interpretations when more reliable information becomes available.
28. General-Purpose AI Training
Private Legacy Content is not used to train general-purpose artificial intelligence models for unrelated users without separate express authorization.
Authorized AI, cloud, infrastructure, transcription, retrieval, security, and related service providers may process information as reasonably necessary to provide Legacy Guruuz functionality under applicable agreements, protections, service configuration, and the Privacy Policy.
A materially different use of Private Legacy Content for general-purpose model training requires separate express authorization.
29. Privacy
The Legacy Guruuz Privacy Policy explains how personal information and Legacy Content are collected, used, stored, processed, disclosed, protected, retained, and deleted.
By using Legacy Guruuz, Members acknowledge the Privacy Policy.
Privacy requests may be directed to:
Privacy@LegacyGuruuz.com
30. Member-Directed Sharing
Private Legacy Content remains restricted according to Member permissions, applicable rights, service configuration, and governing agreements.
Legacy Guruuz may provide features allowing Members to share selected materials with family members, Contributors, Stewards, invited participants, or other authorized people.
Members are responsible for reviewing the intended audience before authorizing a sharing action.
Information intentionally shared with another person may be copied, stored, discussed, or redistributed by that recipient outside Legacy Guruuz and beyond the Company's direct control.
Preservation, private access, family sharing, public publication, marketing use, and Legacy Guruu embodiment are distinct permission contexts.
Providing or preserving Legacy Content does not by itself authorize public publication.
31. Publicity and Marketing
Enrollment in Legacy Guruuz does not by itself authorize Guruu International Inc. to use a Member's Private Legacy Content, identifiable family story, private photograph, testimonial, voice, likeness, recording, or other identifiable private Legacy material for public advertising or promotional purposes.
Public marketing or publicity use requires an appropriate separate permission, release, or other lawful authorization.
Future promotional authorization may be withdrawn where the governing release or applicable law permits withdrawal.
32. Guruu International Intellectual Property
Guruu International Inc. and its licensors retain all rights, title, and interest in Legacy Guruuz and related Company technology, intellectual property, content, branding, software, systems, methods, processes, architectures, documentation, designs, models, workflows, and other proprietary or confidential materials, whether registered or unregistered and whether publicly identified or non-public.
Member ownership of Legacy Content does not create ownership of Guruu International intellectual property used to provide the authorized service.
Except for the limited right to use Legacy Guruuz as expressly authorized through the applicable service relationship, no license or right in Company intellectual property is granted by implication, estoppel, access, observation, disclosure, or otherwise.
All Company copyrights in the Legacy Guruuz service, Website, Product Environment, proprietary documentation, original designs, software, content created by the Company, and other copyrightable Company materials are owned by or licensed to Guruu International Inc., subject to third-party rights where applicable.
33. Confidential System Information and Trade Secrets
Non-public technical, operational, security, business, and system information relating to Legacy Guruuz or other Guruu International services is confidential and proprietary. No right is granted to access, disclose, reproduce, derive, reverse engineer, exploit, or use such information except as expressly authorized by law or written agreement.
No inadvertent exposure of non-public system information creates authorization to retain, use, publish, disclose, exploit, or redistribute that information.
A person who reasonably believes they have discovered a security vulnerability or inadvertent exposure should report the matter through the Company's designated security or legal reporting process rather than exploit or publicly distribute it.
34. Member-Specific Outputs
Legacy Guruuz may create Member-specific summaries, prompts, reflections, organization, generated text, visualizations, continuity materials, or related outputs.
Subject to applicable law, third-party rights, and these Terms, Members may use Member-specific outputs provided to them for personal and family Legacy purposes.
Underlying Company technology, intellectual property, systems, methods, and proprietary materials remain owned by Guruu International Inc. or its licensors.
35. Feedback
Members may voluntarily provide ideas, comments, observations, suggestions, or feature requests.
Guruu International Inc. may use voluntary feedback to improve, develop, protect, market, or expand Legacy Guruuz and related services without compensation or ownership obligation to the person providing the feedback.
This provision does not transfer ownership of a Member's Legacy Content.
36. Copyright Complaints
Guruu International Inc. respects copyright and related intellectual-property rights.
A person who believes that material hosted through Legacy Guruuz infringes a copyright may submit a copyright complaint to Guruu International Inc. through the Company's designated legal contact:
Legal@LegacyGuruuz.com
Guruu International Inc. may restrict access to disputed material, request additional information, notify the contributing Member or Contributor where appropriate, remove or disable access when warranted, and process applicable notices or counter-notices according to governing law and Company procedures.
Copyright ownership in Company-created Legacy Guruuz materials remains with Guruu International Inc. or the applicable licensor.
37. Mentorship, Professional Advice, and Emergencies
Legacy Guruuz provides Legacy preservation, guided reflection, storytelling, mentorship-oriented engagement, and continuity.
Legacy Guruuz does not replace qualified attorneys, accountants, physicians, mental-health professionals, financial advisors, estate planners, or emergency professionals.
Important legal, medical, mental-health, tax, estate, financial, and safety matters belong with qualified human professionals.
People facing immediate danger or emergency should contact appropriate emergency services or qualified human support.
38. No Estate-Planning or Fiduciary Relationship
Legacy Guruuz may support Legacy reflection and Steward designation.
It does not provide estate-planning, probate, fiduciary, legal-representation, trusteeship, executorship, guardianship, or financial-management services.
Neither these Terms nor use of Legacy Guruuz creates an attorney-client relationship, fiduciary relationship, trustee relationship, executor relationship, guardian relationship, agency relationship, power of attorney, or beneficiary designation.
Formal estate arrangements remain governed by applicable law and legally recognized documents.
39. Communications
Legacy Guruuz may communicate with Members concerning account access, onboarding, enrollment, Legacy-building, Stewardship, contributions, payments, service updates, security, support, transactions, and other operational matters.
Optional promotional communications may be sent where authorized.
Marketing preferences may be managed through available unsubscribe tools.
Operational, transactional, security, payment, and account communications may continue as reasonably necessary for the service relationship.
SMS or comparable electronic communications may require separate consent where applicable.
40. Third-Party Services
Legacy Guruuz may use or connect with third-party providers supporting AI services, authentication, cloud infrastructure, communications, hosting, payment processing, security, storage, transcription, video, analytics, or other operational functions.
Third-party services may be governed by their own terms and privacy practices where users interact directly with those services.
Legacy Guruuz may replace service providers as technology and operations evolve.
Use of service providers does not alter the Company's contractual commitments concerning Private Legacy Content except as disclosed through the governing Privacy Policy, agreements, and applicable law.
41. Service Availability and Evolution
Legacy Guruuz is designed for long-horizon Legacy continuity.
Technology and services may evolve over time, including features, interfaces, service providers, security measures, and technical implementation.
Changes may reflect technical progress, security, legal requirements, Member experience, service reliability, operational requirements, or broader Legacy development.
For Permanent Founding Members, technological evolution does not itself convert the protected foundational core Permanent Founding Membership into a recurring membership obligation. Founding Monthly remains governed by its approved recurring billing and continuation terms.
Specific current features, providers, interfaces, and technical implementations are not guaranteed to remain unchanged indefinitely.
42. Suspension or Restriction
Legacy Guruuz may restrict or suspend access when reasonably necessary to protect Members, Contributors, families, rights-holders, privacy, security, legal compliance, intellectual property, content safety, service integrity, payment rights, Company systems, or Legacy authenticity.
Reasons may include serious Terms violations, prohibited content, fraudulent activity, unauthorized access, rights disputes, account compromise, unlawful activity, repeated safety violations, material misrepresentation of authority, legal process, security concerns, attempted reverse engineering, unauthorized system extraction, scraping, circumvention of technical controls, or misuse of Company intellectual property.
Where appropriate, Legacy Guruuz may allow an opportunity to resolve or appeal an issue before permanent termination.
Serious safety, exploitation, fraud, intellectual-property, security, or legal concerns may require immediate action.
43. Termination by Legacy Guruuz
Legacy Guruuz may terminate an account or participation for a material or repeated violation of these Terms, serious unlawful activity, fraud, exploitation, unauthorized system access, material infringement, misuse of proprietary systems, or another condition materially affecting service safety, rights, security, trust, or integrity.
Where termination occurs, Legacy Content will be handled according to applicable law, the Privacy Policy, rights-holder obligations, content-safety obligations, Member export rights where appropriate, applicable retention requirements, and governing permissions.
Termination does not transfer ownership of Member Legacy Content to Guruu International Inc.
44. Effects of Cancellation or Termination
Following cancellation or termination, authenticated access may end; active Legacy processing may stop; Stewardship access may change; unpaid eligible fees remain due; export or release rights may apply; and confidentiality, intellectual-property, security, and other surviving obligations continue.
Sections concerning ownership, licenses, intellectual property, confidential system information, trade secrets, privacy, retention, payment obligations, disclaimers, liability, dispute resolution, governing law, and other provisions logically intended to survive remain effective.
45. Security
Legacy Guruuz uses reasonable administrative, technical, and organizational safeguards designed to protect accounts and Legacy Content.
Members and other participants agree to protect login credentials, use account access only as authorized, promptly report suspected account compromise, and avoid sharing authentication credentials with unauthorized people.
No online system can guarantee absolute security.
Legacy Guruuz maintains incident-response and security practices as described more fully in the Privacy Policy and applicable internal governance.
46. Disclaimers
To the fullest extent permitted by applicable law, Legacy Guruuz is provided on an “as available” and “as provided” basis.
Legacy Guruuz seeks to provide thoughtful, reliable, meaningful, and trustworthy Legacy experiences. Artificial intelligence, communications networks, cloud infrastructure, third-party services, and digital systems nevertheless carry inherent variability.
To the fullest extent permitted by applicable law, Guruu International Inc. disclaims implied warranties including merchantability, fitness for a particular purpose, title, and noninfringement where such disclaimers are legally permitted.
Legacy Guruuz does not guarantee uninterrupted availability; preservation of every feature or technical method indefinitely; perfect AI accuracy; perfect transcription; universal compatibility of exported materials; or particular emotional, family, financial, legal, relational, commercial, or other outcomes.
Mandatory consumer rights remain unaffected where they cannot lawfully be waived.
47. Limitation of Liability
To the fullest extent permitted by applicable law, Guruu International Inc. and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-opportunity, loss-of-goodwill, or business-interruption damages arising out of or relating to Legacy Guruuz.
To the fullest extent permitted by applicable law, aggregate liability arising from the Legacy Guruuz services giving rise to a claim will not exceed the greater of:
$250, or
the amounts actually paid by the Member to Legacy Guruuz during the 12 months preceding the event giving rise to the claim.
Some jurisdictions restrict exclusions or limitations of liability.
Where a limitation cannot lawfully apply, it applies only to the fullest extent permitted by governing law.
Nothing in these Terms excludes liability that cannot legally be excluded.
48. Indemnity
To the fullest extent permitted by law, a Member agrees to defend, indemnify, and hold harmless Guruu International Inc. and its officers, directors, employees, contractors, affiliates, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from Member misuse of Legacy Guruuz; material violation of these Terms; knowingly unlawful content; infringement caused by material submitted without required authority; fraudulent claims of rights or authority; unauthorized use of another person's voice or likeness; unauthorized public sharing; unauthorized access to or misuse of Company systems; or conduct violating applicable law or third-party rights.
This provision does not require a Member to indemnify Guruu International Inc. for claims caused by the Company's own conduct to the extent applicable law prohibits such allocation.
49. Force Majeure
Guruu International Inc. is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, acts of government, widespread internet outages, cloud-provider failures, cyberattacks, war, terrorism, civil unrest, labor disruptions, public-health emergencies, power failures, communications failures, or comparable events beyond reasonable control.
Legacy Guruuz will use reasonable efforts appropriate to the circumstances to restore affected services and protect Legacy Content.
50. Assignment
Members may not assign or transfer these Terms or an active Member account to another person except through authorized Legacy Guruuz Stewardship, succession, or another approved process.
Guruu International Inc. may assign these Terms or related rights and obligations in connection with a merger, acquisition, financing, reorganization, corporate restructuring, sale of assets, or transfer of the Legacy Guruuz business.
Any successor handling personal information remains subject to applicable privacy and legal obligations.
51. Independent Relationship
Use of Legacy Guruuz creates a contractual service relationship.
It does not create a partnership, joint venture, employment relationship, franchise, agency, attorney-client relationship, fiduciary relationship, trustee relationship, or other relationship beyond the services expressly described.
52. Entire Agreement and Subject-Matter Authority
These Terms and the applicable governing documents identified in Section 6 form the agreement concerning the services and subjects they govern and supersede prior statements concerning those same subjects unless another accepted written agreement expressly controls.
Where documents address different subjects, each document governs its own subject matter.
Where two provisions directly conflict concerning the same subject, a more specific accepted agreement addressing that subject ordinarily controls over a more general provision, subject to applicable law and any express written priority provision.
Public statements concerning possible future features, technologies, integrations, or capabilities do not create binding service commitments unless incorporated into an accepted agreement.
53. Severability
If a provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions continue in effect to the fullest extent permitted by law.
Where legally permissible, the affected provision will be interpreted or limited as closely as possible to achieve its lawful intended effect.
54. Waiver
A delay or failure to enforce a provision does not permanently waive the right to enforce that provision or another provision later.
A waiver must be authorized and applies only to the particular circumstance for which it is given.
55. Changes to These Terms
Legacy Guruuz may update these Terms to reflect changes in law, services, technology, security, operations, product design, business practices, or Legacy architecture.
The Version and Last Updated date identify the current published Terms.
Material changes may also be communicated through the Website, Product Environment, email, or another appropriate channel.
Changes apply prospectively unless applicable law permits or requires another treatment.
Where governing law requires renewed consent or acceptance for a material change, Legacy Guruuz will provide the corresponding mechanism.
A material change will not retroactively convert the protected core Permanent Founding Membership into a recurring membership obligation. Founding Monthly continuation after the Founding year requires the applicable rollover notice and Member continuation authorization.
56. Governing Law and Good-Faith Resolution
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles, except where mandatory consumer, privacy, or other law requires another result.
Before beginning formal litigation, the Member and Guruu International Inc. agree to attempt reasonable good-faith resolution through written notice and discussion.
This requirement does not prevent either party from seeking immediate or equitable relief where reasonably necessary to protect safety, privacy, intellectual property, confidential information, trade secrets, account security, Company systems, or legal rights requiring urgent protection.
57. Forum
Subject to nonwaivable consumer rights, legally required alternative forums, and other mandatory jurisdictional protections, formal disputes concerning these Terms will be brought in the appropriate state or federal courts located in Delaware.
Applicable mandatory consumer-protection rights remain preserved.
58. Individual Claims
To the fullest extent permitted by applicable law, claims arising from or relating to Legacy Guruuz will be pursued on an individual basis rather than as a plaintiff or class member in a purported class, collective, consolidated, coordinated, or representative proceeding.
Where applicable law prohibits enforcement of this limitation, the limitation applies only to the maximum extent legally permitted.
